These Terms and Conditions (the "Terms") govern your access to and use of the website and services offered by ETA Design Tech, including the content, features and services available through our website (www.etadesigntech.com) and communications with our team.

ETA Design Tech is referred to here as "ETA Design Tech", "we", "Eta Design Tech" or "us". "User" or "Customer" means anyone who accesses our site or uses our services.

Before you start using our services, we invite you to read these Terms and Conditions carefully. By accessing our site, using our services, or placing an order, you acknowledge that by accepting these Terms and our Privacy Policy (available here), you are entering into a legally binding contract between you and ETA Design Tech. If you do not wish to agree to these Terms or the Privacy Policy, please do not use our site or services.

1. Representations and Warranties

This site is offered and made available to Users who:

• They are at least 18 years of age and have the legal standing to enter into a binding contract.

• They are not subject to economic sanctions or trade restrictions imposed by applicable jurisdictions, including the United States, the European Union, or other relevant jurisdictions.

By using the Site, you represent and warrant that you meet all of the above eligibility requirements. If you do not meet these requirements, you must not access, use or purchase services on the site.

2. General information

Eta Design Tech is a provider of digital and creative services that includes a wide range of solutions, aimed at supporting companies and individuals in the realization of their online projects. In particular, we offer:

• Website Creation:
  We develop e-commerce sites, showcase sites, corporate sites and "full custom" tailor-made web projects, guaranteeing adequate technical solutions, professional design and customized functionality according to the customer's needs.

• Mobile App Development:
  We create applications for Android and iOS devices, ranging from conception to publication on digital stores, with attention to user experience, performance and compatibility with the standards of the main platforms.

• Advertising and Digital Marketing Services:
  We offer tailor-made marketing campaigns, promotion of products and services on digital channels, management of SEO/SEM activities, social media marketing, e-mail marketing and other initiatives aimed at increasing visibility, qualified traffic and user engagement.

• Creation of Logos and Graphic Design Products:
  We design original visual identities, professional logos, custom graphic elements and other design materials to support the Client's image and strengthen its presence in the target market.

By accessing or using our services, the Client accepts these Terms and Conditions in full, undertaking to comply with all provisions and provisions.

3. Source Code Ownership and Design

• All designs, layouts, templates, source code, files, software components and any other materials created or developed within the scope of the services provided by Eta Design Tech are and remain the exclusive property of Eta Design Tech.

• The customer receives the right to use the final product (e.g., the website or mobile app) for its intended purposes, but does not acquire any ownership rights in the source code, design, or other materials developed.

• It is expressly forbidden:

  • Copy, modify, distribute, or use the source code or designs for unauthorized purposes.

  • Resell or transfer the final product without the written consent of Eta Design Tech.

• Any violation of this clause will be prosecuted according to the laws in force.

4. Website Creation and Customizations

• For fully customized, tailor-made ("full custom") sites — i.e. projects that do not fall within the standard formats such as e-commerce sites, showcase sites or business sites offered on the Eta Design Tech website — the Customer will have the opportunity to agree on the technical and design details with our team, in accordance with these Terms and Conditions. Furthermore, if the Customer provides its own design for the creation of the site, such material may be used subject to verification and approval by Eta Design Tech, in order to ensure full technical compatibility.

• The design of showcase and ecommerce websites is chosen exclusively by Eta Design Tech based on the specific needs of the project. The customer has no right to reject or contest the selected design.

• For e-commerce, showcase, and business websites—that is, projects that are not fully customized, but only partially customized—we use pre-developed themes that serve as a starting structure. These themes are selected based on their reliability, ease of use, and compatibility with major industry standards, enabling effective and quickly deployable solutions.

  In this context:

  • Minimal changes: The Client will be able to request essential interventions such as updating the text, replacing icons and images, as well as changing colors and fonts, thus ensuring an aesthetic adaptation to their needs and brand image.
  • Functional limitations: There is no provision to add advanced features, restructure the layout, or major changes to site logic. This approach focuses on speed of deployment, cost containment and platform stability, while avoiding compromising the efficiency and security of the core theme.

• There is no preliminary draft for website creation projects that are not fully customized. Only the final design will be provided, to which minimal changes (e.g. text or colors) can only be made before final delivery.

• In some cases, advanced features or more complex customizations can be integrated, but only with explicit customer request and approval from Eta Design Tech. Such requests will be subject to a feasibility analysis and an assessment of additional costs, which will be communicated to the customer for acceptance.

• In some cases, for e-commerce and fully customized sites, it is possible to integrate a mobile app for Android and iOS:

  • The mobile app is not included free of charge and involves an additional cost that will be communicated to the customer at the time of the request.

  • The creation of the mobile app is subject to the explicit request of the customer and approval by Eta Design Tech, subject to feasibility analysis.

  • The cost and time of implementation of the mobile app will be agreed separately.

5. Graphic Design Products

• Graphic design products made by Eta Design Tech (e.g. logos, graphics or visual materials) are provided as final works.
• Only minimal changes are permitted at the Customer's request (such as changes in colour or text) within the limits agreed upon at the time of the order.
• Any requests for substantial or unforeseen changes will be considered new work and may incur additional costs.
• Once the design has been completed, the Customer may not make any claims for further modification, nor refuse or challenge the product, except in the case of non-compliance with the originally agreed specifications.
• In the event of cancellation of the order relating to graphic design products, the provisions indicated in the "Payments and Cancellations" section apply.

6. Payments and Cancellations

• The project will only begin after the customer has placed the order through our website and completed the payment of the total amount indicated in the order.

• In case of cancellation of the order by the customer:

  • If the project is still in the initial phase, 30% of the total amount will be retained to cover the operating costs incurred.

  • If you have completed a draft of the project (e.g., preliminary design or structure of the site/app), 50% of the total amount will be retained as compensation for the work done up to that point.

  • If the project is in the final stage or completed, 100% of the total amount will be retained, as the work will be considered done and the product ready for delivery.

• In the event of cancellation of the assignment, the Client does not acquire any right to use, in any form or for any purpose, the creations, designs, source codes or any other material already produced by Eta Design Tech up to that moment, as described in paragraph 3. These materials, including any partial or unfinished elements, remain the exclusive property of Eta Design Tech and cannot be used, even in part, to continue the development of the project by the Customer or third parties. Unauthorized use of such content will be considered an infringement of Eta Design Tech's intellectual property rights and prosecuted to the fullest extent of the law.

• Any additional costs related to requests for changes or enhanced features will be communicated separately and must be approved and paid by the customer prior to implementation.

• For showcase websites, e-commerce and graphic design creations, once delivered, they will not be subject to change in the event that they do not meet the customer's expectations.

7. Warranties and Limitations

• Eta Design Tech guarantees that the websites and applications developed will be delivered in working order in accordance with the technical and functional specifications agreed upon at the time of release.

• However, the Client acknowledges that, after delivery, unforeseeable malfunctions or bugs may occur, especially in the event of:

  • Software, technology, or security updates released after delivery.

  • Interventions, changes or additions to the code or structure of the site/app made by the Customer or by third parties not authorized by Eta Design Tech.

  • Malfunctions, delays or interruptions caused by third-party providers (e.g. hosting services, external APIs, plugins, third-party libraries) over which Eta Design Tech has no control.

• Eta Design Tech will not be held liable for any damages, direct or indirect, resulting from improper use of the products, failure to follow the instructions provided, or the adoption of unauthorized modifications. Any maintenance, bug fixes, or post-delivery adjustments will be subject to separate agreements.

8. Digital Marketing and Advertising

• The advertising and digital marketing campaigns curated by Eta Design Tech will be planned and executed in accordance with the guidelines agreed in advance with the Client. This includes, but is not limited to, choosing promotional channels, setting budgets, identifying target audiences, setting measurable goals, and selecting key messages.

• While Eta Design Tech is committed to applying industry best practices, as well as using the tools and strategies deemed most suitable for achieving the agreed objectives, Eta Design Tech cannot guarantee specific or determined results, such as a guaranteed increase in sales, traffic or leads generated.

• The success and effectiveness of marketing and advertising initiatives depend on multiple factors beyond Eta Design Tech's control, including, but not limited to, market trends, consumer preferences, advertising platform policies, any changes in search engine algorithms, and competition in the target market.

• The Client acknowledges that Eta Design Tech's efforts are aimed at maximizing the return on investment, but that the outcome of the campaigns cannot be predicted with certainty. Any performance evaluations will be based on statistical data, analytical metrics and periodic reports, which Eta Design Tech will provide to the Customer with maximum transparency.

9. Creating Custom Mobile Apps

• Services Offered:
  Eta Design Tech provides services for the design, development and release of tailor-made mobile applications for Android and iOS devices, taking into account the specific needs of the Client in terms of design, functionality, integrations with external services, user interfaces and technical performance.

• Request Procedure:
  To initiate the request for a new custom app, the Client must contact Eta Design Tech through the official channels indicated on the company's website or other informational materials. During the preliminary communications, the Client may provide a detailed description of its needs, indications on the desired functionalities, the integrations required and any aesthetic or brand identity preferences.

• Project Definition:
  Before proceeding with development, Eta Design Tech and the Client will discuss and agree on all the details of the project, including, but not limited to:

  • The functional perimeter of the app (functionality, interactive features, compatibility with devices and OS versions).
  • The expected timing for the different phases of the work (analysis, design, development, testing, release).
  • The total cost, the payment conditions and any instalments or billing milestones.
  • Any technical constraints, security requirements, compliance with industry standards, or app store-specific requirements (Google Play, Apple App Store).

• Start of Development:
  The actual development phase can only begin as a result of:

  • Definition and formal approval of project specifications, detailing agreed functionalities, interfaces, and objectives.
  • Acceptance of these Terms and Conditions, including the established payment methods.
  • Full payment or, if agreed, partial payment of a down payment or a first tranche, as specified in the preliminary agreement.

• Updates and Support:
  During development, Eta Design Tech may provide periodic updates on the progress of the project and request feedback from the Client, in order to ensure that the app corresponds to the agreed expectations. Any changes during the work will have to be evaluated and, if necessary, will involve an adjustment of costs and times, to be agreed in advance.

10. Delivery Time

The estimated delivery time for each project will be defined and communicated to the Client during the preliminary phase, when determining the specifications and scope of the works. This indicative term takes into account the complexity of the project, the features required, and the resources required.

However, the Client acknowledges that Eta Design Tech cannot guarantee with absolute certainty compliance with the indicated times, as the progress of the work may be slowed down due to unforeseeable or uncontrollable factors. By way of example, these factors include:

• Unexpected technical or operational issues.
• Delays or malfunctions attributable to external providers (e.g. hosting services, plugins, third-party APIs).
• Additional requests, changes or additions by the Client introduced during the course of work, which require further analysis or development.
• Any force majeure events (e.g. network interruptions, natural disasters, logistical or health problems, government restrictions).

In consideration of the above, Eta Design Tech undertakes to promptly inform the Customer if circumstances arise that alter the expected timing, collaborating to find alternative solutions and better manage the situation. However, it will not be held responsible for damages or inconveniences resulting from any delays in the delivery of the project.

11. Use for promotional purposes and attribution of the project

The Client, with the acceptance of these General Conditions, expressly acknowledges and accepts that the work carried out or the completed project (including, by way of example, websites, applications, graphic material, multimedia content and any other creative, technical or strategic output resulting from the mandate given to Eta Design Tech) can be included, without further charges or prior communications, in the portfolio of Eta Design Tech, including, but not limited to, publication on the institutional website of Eta Design Tech, inclusion in promotional documentation, presentations, brochures, newsletters and information or marketing materials relating to the services offered by the Company, both in electronic and paper form, as well as mentioned during events, conferences, workshops, round tables or other occasions to promote Eta Design Tech's activities.

To this end, the Client authorizes the placement, within the website or the finished product supplied by the Supplier, of a discreet footnote bearing the words "Design/Powered by Eta Design Tech" or similar attribution formula, accompanied by a hypertext link to the Eta Design Tech website, which may refer to the relevant page for the presentation of the services or portfolio. The Customer acknowledges that this attribution, considered an integral part of Eta Design Tech's promotional and reputational function, may not be removed, altered, obscured, minimized or modified in any way without the prior written consent of Eta Design Tech. If the Customer wishes to omit or modify this attribution, it must make a formal request, remaining in any case at the discretion of Eta Design Tech the right to accept or refuse or to request, where appropriate, the payment of an additional fee.

12. Technical Requirements and Maintenance

For the implementation and proper functioning of a website or mobile application, it is necessary to equip yourself with certain resources and technical services. These costs, generally calculated on an annual basis, are borne by the Customer and will be communicated by Eta Design Tech before the activation or renewal of the related services. Especially:

• Domain, Server and TLS Certificate:
  To publish a website, it is essential to purchase and maintain a domain, an adequate server (hosting) and a TLS certificate (e.g. SSL) to ensure the security of connections. These costs, which include annual renewals, are the responsibility of the Customer.

• Publication and Maintenance of Mobile Apps:
  To publish and maintain a mobile application on the official stores (Apple App Store and Google Play Store), the Customer will have to bear the related charges, such as the annual fees provided by the platforms. The amount, payment methods and renewals of these fees depend solely on the policies of the respective stores and are not the responsibility of Eta Design Tech.

• Maintenance and Technical Support:
  After the delivery of the project, any maintenance interventions (bug fixes, fixing technical problems, adjustments to new security standards) can be provided on an annual basis or according to the agreed methods. Eta Design Tech will determine and communicate the related costs to the Client before the execution of the services, possibly establishing an annual maintenance fee, defined according to the complexity of the activities required.

13. Changes to Terms

We reserve the right to update these Terms and Conditions at any time. Any changes will be posted on this page and will be effective upon posting.
